These Terms of Use (“Terms”) govern your use of our services, including but not limited to our CRM, automation tools, and related business solutions (collectively, the “Services”). By accessing or using our Services, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree to these Terms, you must discontinue use of the Services immediately.
P2Automate provides business automation and CRM solutions designed to assist clients in streamlining their operations. These Terms form a legally binding agreement between you (“User,” “Client,” or “You”) and P2Automate Inc. (“P2Automate,” “we,” “us,” or “our”). By using our Services, you affirm that you are at least 18 years of age or the age of majority in your jurisdiction, whichever is higher, and that you have the legal capacity to enter into these Terms. You also affirm that you will comply with all applicable laws and regulations when using our Services.
2.1 Account Creation
To access certain features of the Services, you must register an account and provide accurate, complete, and current information. Failure to do so may result in suspension or termination of your account. You agree to update your information as necessary to maintain its accuracy.
2.2 Security Responsibilities
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, regardless of whether you authorized them. You agree to notify P2Automate immediately of any unauthorized access to or use of your account, login credentials, or any other security breach. P2Automate reserves the right to disable or suspend access to your account at its sole discretion if it determines that there has been a violation of these Terms, a security risk, or unauthorized access. Your account is non-transferable, and you may not share your login credentials with unauthorized users. You must take reasonable precautions to prevent unauthorized users from accessing your account, including enabling multi-factor authentication where applicable. By using our Services, you grant P2Automate the right to monitor access and usage of accounts for security, compliance, and service-related purposes. P2Automate is not liable for any losses or damages resulting from unauthorized access due to your failure to secure your account. If we suspect any security breach, we may require you to reset your password or take additional security measures before restoring full access to your account.
2.3 Account Ownership Disputes
In the event of a dispute regarding account ownership, P2Automate reserves the right to request documentation to establish rightful ownership, including but not limited to government-issued identification, business registration certificates, or other relevant records. If an account ownership dispute cannot be resolved, P2Automate reserves the right to suspend or terminate the disputed account until resolution is reached.
3.1 Billing and Payments
P2Automate offers both flat-rate subscription plans and usage-based services, which are billed on a monthly or annual basis. All fees are due in advance unless otherwise agreed upon in writing. Clients must maintain a valid payment method on file to avoid service interruptions.

3.3 Refund Policy
Payments made for subscription services are non-refundable. If a Client terminates their subscription before the end of the billing period, they are not entitled to a prorated refund.
4.1 Acceptable Use
Users agree to use the Services only for lawful business purposes and to comply with all applicable laws, regulations, and industry standards.
4.2 Prohibited Conduct
Users shall not use the Services for fraudulent, deceptive, or misleading activities, including but not limited to engaging in spamming, phishing, or unauthorized data collection. Users shall not attempt to reverse-engineer, resell, sublicense, or modify the Services without prior written consent from P2Automate. The use of AI-powered tools in a manner that violates consumer protection laws is strictly prohibited. P2Automate reserves the right to investigate violations and take appropriate legal action, including account suspension or termination.
5.1 Ownership of Services
P2Automate and its licensors own all rights, titles, and interests in the Services, including but not limited to all software, content, branding, and trademarks. Users may not copy, modify, distribute, sell, or lease any part of the Services without explicit permission.
5.2 User-Generated Content
Users retain ownership of any content they submit to P2Automate. However, if such content is used by P2Automate for service-related purposes, compensation terms shall be agreed upon in writing between the user and P2Automate before any use beyond the original submission takes place.
P2Automate integrates with third-party platforms to enhance its Services. Users acknowledge that their use of third-party integrations is subject to the respective terms of those providers. P2Automate is not responsible for service disruptions, changes, or limitations imposed by third-party service providers.
P2Automate guarantees a 99% uptime for core Services, excluding planned maintenance or force majeure events. We reserve the right to modify or discontinue any part of our Services at any time and will notify users of significant service changes in advance.
8.1 Termination by the User
Users may terminate their subscription or use of the Services at any time by providing 30 days’ written notice to P2Automate. Termination shall be effective at the end of the current billing cycle, and users will not be entitled to a refund for any prepaid amounts. Upon termination, users must cease all use of the Services and delete any proprietary materials obtained through P2Automate. Any outstanding fees or charges incurred prior to termination shall remain the responsibility of the user and must be settled prior to account closure.
8.2 Termination by P2Automate
P2Automate reserves the right to terminate or suspend access to the Services, in whole or in part, immediately and without prior notice if:
P2Automate may, at its discretion, provide notice and an opportunity to remedy a breach before termination. However, in cases of severe violations, termination may be immediate.
8.3 Suspension of Services
P2Automate may suspend access to the Services, in whole or in part, under the following circumstances:
During a suspension, users may be restricted from accessing certain functionalities, and P2Automate shall not be liable for any resulting loss of data or business operations. If the issue leading to suspension is not resolved within a reasonable timeframe, as determined by P2Automate, permanent termination may follow.
8.4 Effects of Termination or Suspension
Upon termination or suspension, users immediately lose access to the Services, including any stored data, integrations, and features. P2Automate is under no obligation to retain or provide access to any data following termination and recommends that users back up important information prior to terminating their account. Any provisions of these Terms that by their nature should survive termination, including but not limited to limitations of liability, indemnification obligations, and intellectual property protections, shall remain in full force and effect after termination.
Either party may terminate the agreement with 30 days’ written notice. P2Automate reserves the right to suspend or terminate access for non-compliance, non-payment, or fraudulent activity.
9.1 Limitation of Liability
To the maximum extent permitted by law, P2Automate and its affiliates, officers, directors, employees, agents, licensors, and suppliers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, revenue, goodwill, data, or business opportunities, arising from or related to the use or inability to use the Services, even if P2Automate has been advised of the possibility of such damages.
Under no circumstances shall P2Automate’s total aggregate liability exceed the amount paid by the user for the Services in the six (6) months preceding the event giving rise to the claim.P2Automate shall not be responsible for any damages, liabilities, or losses resulting from unauthorized access to or use of the Services, system failure, interruption, modification, or discontinuation of the Services.
9.2 Indemnification
Users agree to defend, indemnify, and hold harmless P2Automate and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including but not limited to reasonable attorneys' fees and costs, arising out of or in connection with:
P2Automate reserves the right to assume the exclusive defense and control of any matter subject to indemnification by the user, in which case the user agrees to cooperate with P2Automate’s defense of such claims.
10.1 Governing Law
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of Alberta, Canada, without regard to its conflict of law principles. Any disputes arising under these Terms that are not subject to arbitration shall be subject to the exclusive jurisdiction of the courts located in Alberta, Canada.
10.2 Dispute Resolution & Arbitration
Any disputes, claims, or controversies arising out of or relating to these Terms, the Services, or the relationship between the user and P2Automate shall be resolved through binding arbitration administered by a recognized arbitration body. The arbitration shall be conducted in Alberta, Canada, before a single arbitrator, and the proceedings shall be governed by the arbitration laws applicable in Alberta.
The parties agree that arbitration shall be conducted on an individual basis, and no claims may be arbitrated on a class, collective, or representative basis. By using the Services, the user waives the right to participate in any class action or representative proceeding against P2Automate.
10.3 Exceptions to Arbitration
Notwithstanding the arbitration provision, P2Automate may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or trade secrets.
10.4 Legal Fees
In any legal proceeding between the parties, the prevailing party shall be entitled to recover reasonable legal fees and costs incurred in connection with enforcing these Terms or defending against any claims arising out of the Services.
P2Automate shall not be liable for indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunities. Users agree to indemnify and hold harmless P2Automate from any claims arising from misuse of the Services.
Users must comply with all applicable export laws and regulations when using P2Automate Services. Services may not be used in jurisdictions where they are legally restricted.
P2Automate provides Services “as is” and makes no guarantees regarding specific results or uninterrupted availability, except where explicitly stated otherwise. For core in-house services, we offer a 99% uptime guarantee, excluding planned maintenance and force majeure events. However, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose, and do not guarantee the availability of third-party services or integrations beyond our control.
P2Automate reserves the right to update these Terms at any time. Continued use of the Services after changes take effect constitutes acceptance.
